1. Who we are and who these terms are for

CyberVSM is provided by InnerBloom Brand SRL, CUI RO47604160, Trade Register no. J23/845/2023, registered office Str. Ciprian Porumbescu nr. 48C, 075100 Otopeni, Ilfov, Romania (“we”). These terms form the contract between us and the business that subscribes (“you”). CyberVSM is sold only to businesses for their trade; it is not offered to consumers. By subscribing, the person who completes the checkout confirms they may bind that business.

2. The service

• CyberVSM provides IRIS, an AI sales assistant for Shopify and WooCommerce stores, with the features and monthly limits of the plan you choose, as described on cybervsm.com at the time you subscribe.
• Features marked "soon" or "on the roadmap" are not part of any plan until we announce them as available. We give no launch dates.
• CyberVSM is in early access. We install IRIS together with you after payment: we add it to your Shopify theme with one line of code or you install our WooCommerce plugin, with the access you give us, and we build the knowledge base from your catalog and the information you give us. We aim to start within 1 business day of payment.
• IRIS uses a third-party AI model (Claude, by Anthropic). AI answers can be incomplete or wrong. You remain responsible for your products, prices, offers and the information you give IRIS, and for checking the knowledge base before going live and when you change your catalog.
• IRIS tells shoppers it is an AI assistant. You must not remove or hide that disclosure.

3. Conversations and limits

A conversation is one chat session with a shopper on your store. If you reach your plan's monthly limit, IRIS may pause until the next billing period. We will tell you before that happens and offer an upgrade; we never charge for extra usage without your agreement.

4. Prices, payment and invoices

• Subscriptions are monthly, paid in advance by card in EUR through Stripe, and renew automatically each month until cancelled.
• Prices exclude VAT. VAT is added where it applies. EU businesses with a valid VAT number are invoiced under reverse charge; you must give a correct VAT number and billing details.
• We issue invoices from Romania and send them by email. Stripe sends the payment receipt.
• If a payment fails, Stripe retries it and we may suspend IRIS if the amount is still unpaid 14 days after the due date. Service resumes when the invoice is paid.
• We may change prices with at least 30 days’ notice by email. The new price applies from your next billing period after the notice; you may cancel before it applies.

5. Term and cancellation

• You can cancel at any time from the billing portal or by writing to contact@cybervsm.com. Cancellation takes effect at the end of the paid month; IRIS stays active until then.
• Paid months are not refunded, except where the law requires it or where we end the service without cause.
• Upgrades apply immediately with a pro-rata charge; downgrades apply from the next billing period.
• We may suspend or end the service with immediate effect if you seriously breach these terms (for example unpaid invoices, unlawful use, or abuse of the service), and otherwise with 30 days’ notice.
• When the service ends we deactivate IRIS on your store and delete your data as described in the Data Processing Agreement.

6. Acceptable use

You must not use CyberVSM to:

• sell illegal, counterfeit or prohibited products, or make misleading claims about products (including health claims your products may not make);
• collect shoppers’ data without a legal basis, or send IRIS information you are not allowed to share;
• try to extract our instructions, overload, copy or reverse engineer the service, or break the usage policies of Shopify or Anthropic.

7. Data protection

For shoppers' personal data processed by IRIS on your store, you are the controller and we are your processor under the Data Processing Agreement, which is part of these terms. For your own contact and billing data, we are the controller as described in our privacy policy.

8. Intellectual property

We keep all rights in CyberVSM, IRIS and their software. You keep all rights in your catalog, texts, images and brand. You give us a non-exclusive licence to use them only to provide the service to you during the subscription. White-label use on the Agency plan lets you present IRIS under your brand to your clients; it does not transfer any rights in the software.

9. Availability and third-party services

We work to keep IRIS available but, during early access, we do not guarantee a specific uptime. The service depends on Shopify or WooCommerce, Anthropic, our hosting providers and Stripe; their outages or changes can affect IRIS. We will tell you about planned maintenance that affects your store when we can.

10. Liability

To the extent the law allows, our total liability under this contract is limited to the fees you paid in the 3 months before the event that caused the claim, and we are not liable for indirect losses such as lost profit, lost sales or lost data that could have been avoided by reasonable backups. Nothing in these terms limits liability for intent or gross negligence, or any liability that cannot be limited under Romanian law.

11. Confidentiality

Each party keeps confidential the non-public information it receives from the other (for example sales data, prices, or details of the service) and uses it only for this contract.

12. Changes to these terms

We may update these terms. We will email you at least 30 days before material changes take effect; if you do not agree, you may cancel before then.

13. Law and disputes

Romanian law applies. We will first try to settle any dispute amicably; otherwise the competent courts at our registered office decide. The Romanian version of these terms prevails over this translation.
